OF THE
BATON ROUGE CORVETTE CLUB
ARTICLE I
Name
The Baton Rouge Corvette Club Inc.,
ARTICLE II
Object
Section 1.
To bring together and encourage persons interested in the
preservation, ownership, and operation of Corvette sports cars.
Section 2.
To act as a source of technical and other information useful
or interesting to Corvette owners.
Section 3.
To sponsor, promote and sanction safe sports car events and
social activities among members, other Corvette Clubs, and other
sport car enthusiasts.
Section 4.
To operate as a non-profit organization without regard to
age, color, creed, disability, gender, nationality, race, sexual
orientation, or political affiliations.
ARTICLE III
Emblem
The emblem of the BRCC shall be a
red Corvette in the center; the name Baton Rouge Corvette Club Inc.
curved above;
ARTICLE IV
Members
Section 1.
Membership Eligibility.
Any licensed driver who is an owner, principal operator, or
preparing to purchase a Corvette within a year of application and meets
all state motor vehicle registration, licensing and insurance
requirements is eligible for membership.
Section 2.
Admission Procedure.
The applicant shall be proposed by a BRCC member and shall
complete a Membership Application with the first year’s annual dues.
The Membership Application shall be sent to the Secretary who
shall submit it at the next meeting of the Executive Board.
A majority vote of the Executive Board is required for
membership. If the
applicant is not approved, the first year’s dues will be returned.
(See Article XX).
Section 3.
Member.
A member shall have met the membership eligibility requirements
of Article IV, Section 1, has paid annual dues and submitted a
Membership Application. A
member shall have full voting rights and privileges.
Section 4.
Associate Member. An
associate member shall have met the eligibility requirements of Article
IV, Section 1, and has been designated by a member any time during the
fiscal year. An associate
member shall have full voting rights and privileges.
Section 5.
Auxiliary Member.
An applicant must show active membership in any other automotive
club to apply for auxiliary membership.
An auxiliary member shall not vote or hold office.
However, any and all associated costs for any BRCC social event
must be borne by the auxiliary member not by the BRCC.
Section 6.
Honorary Member.
The Executive Board can offer an honorary membership to any
person who has demonstrated an interest in BRCC.
An honorary member shall pay no dues, vote or hold office, but
can attend all BRCC activities and functions provided all requirements
for attendance are satisfied.
Section 7.
Sponsoring Member.
Any member or organization that donates to BRCC monies or
services in an amount greater than $1,000 in a calendar year may be
offered a sponsoring membership by the Executive Board.
A suitable statement in BRCC publications shall recognize the
generous contribution of the member or organization.
Section 8.
Resignation from Membership.
Any member desiring to resign from BRCC shall submit a letter of
resignation to the Secretary who shall present it to the Executive Board
for action. The resigning
member shall forfeit all paid dues.
Section 9.
Expulsion.
The Executive Board may expel any member for infraction of BRCC
rules or other inappropriate actions that are detrimental to BRCC.
Before expulsion, the member shall have the opportunity to submit
in writing, or in person, his position concerning the infraction.
The member shall be notified that a special Executive Board
meeting shall be held to discuss such actions.
An expelled member shall forfeit all annual dues.
ARTICLE V
Officers
Section 1.
Elected Officers.
The elected officers of BRCC shall be a President, a
Vice-President, a Secretary, a Treasurer, and six (6) Directors WHEN
POSSIBLE, with full voting power.
President shall only vote in the case of a tie breaker.
Section 2.
Honorary Position.
The immediate Past-President shall assume an honorary position on
the Executive Board at the end of his/her presidential term without
voting privileges.
Section 3.
President Duties and Responsibilities:
1.
To
appoint committees and the chairpersons.
2.
To
appoint a Secretary Pro-Temp in the absence of the Secretary from any
meeting.
3.
To
maintain and project a positive public image.
4.
To
maintain the official BRCC Post Office Box.
5.
To open
all meetings at the appointed time by taking the chair and calling the
meetings to order having ascertained that a quorum is present.
6.
To
announce in proper sequence the business that comes before the meetings
in accordance with the prescribed order of business.
7.
To
recognize members who are entitled to the floor.
8.
To state
and to put to vote all questions that legitimately comes before the
meetings as motions or that otherwise arise in the course of proceedings
and to announce the result of each vote, or if a motion that is not in
order is made, to rule it out of order.
9.
To
expedite business in every way compatible with the BRCC bylaws and the
rights of members.
10.
To
respond to inquiries of members relating to parliamentary procedure or
information.
11.
To
authenticate by signature, when necessary, all acts, orders, and
proceedings of the meetings.
12.
To
declare the meetings adjourned when the members so vote, or at any time
in the event of a sudden emergency affecting the safety of those
present.
13.
To serve
as Immediate Past-President upon completion of the elected term of
office until replaced through the election process.
Section 4.
Vice-President Duties and Responsibilities:
1.
To
assume the duties of the President if the President is absent, resigns,
inability to act or unwillingness to perform the duties as listed in
Article V, Section 1.
2.
To be
the events coordinator.
Section 5.
Secretary Duties and Responsibilities:

Treasurer Duties and Responsibilities:
Section 7.
Director Duties and Responsibilities:

Immediate Past-President Duties and Responsibilities:
ARTICLE VI
Office-Holding Eligibility
Section 1.
President Eligibility. Any
candidate for office of President shall be an active member or associate
member, shall have served on the Executive Board for at least one year,
and shall have been a continuous active member (no break in membership)
from the time of service on the board to the time of assuming office.
Section 2.
Vice-President, Secretary, and Treasurer Eligibility.
Any candidate for the office of Vice-President, Secretary, or
Treasurer shall be an active member or associate member for at least one
year at the time of assuming office.
Section 3.
Director Eligibility.
Any candidate for the office of Director shall be an active
member or associate member.
Section 4.
Continuous Active is defined as a member or associate member who
has not had a break in his or her membership for the required period of
time.
Section 5.
Active member or associate member is defined as attending General
Membership Meetings and participating in BRCC sponsored functions.
ARTICLE VII
Office-Holding Limitations
Section 1.
Elected Officers and Directors.
Elected Officers and Directors shall not hold more than one
office at a time.
ARTICLE VIII
Term of Office
Section 1.
Elected Officers and Directors shall be chosen by ballot of the
members present at the Annual Meeting and shall assume office on the
first of January after their election.
Section 2.
Elected Officers, President, Vice-President, Secretary, Treasurer
and Director term of office shall be TWO years.
Section 3.
The Newsletter and Website Editor is appointed by the President,
shall have no term limitation, no office status, but shall have voting
privileges.
Section 4.
The Homecoming and Parades Chairperson is appointed by the
President, shall have no term limitation, no office status, but shall
have voting privileges.
ARTICLE IX
Voting
Section 1.
Members and Associate Members shall be physically present at
General Membership and Annual Meetings to vote and shall have one vote
each.
Section 2.
Executive Board Members shall be physically present at Executive
Board Meetings to vote and shall have one vote each.
Section 3.
Newsletter and Website Editor is appointed by the President and
shall be physically present at Executive Board Meetings to vote and
shall have one vote each.
Section 4.
Homecoming and Parades Chairperson is appointed by the President
and shall be physically present at Executive Board Meetings to vote and
shall have one vote each.
Section 5.
A majority vote of the members present shall be required for
approval of motions or resolutions at all meetings.
Section 6.
Approval of motions or resolutions by the General Membership
cannot be revoked by the Executive Board.
Only the General Membership can vote to revoke a motion or
resolution it had approved.
ARTICLE X
Vacancies
Section 1.
Office of President.
If the office of President becomes vacant, the Vice-President shall fill
the unexpired term.
Section 2.
Office of Vice-President, Secretary, Treasurer or Director.
If the office of Vice-President, Secretary, Treasurer or Director
becomes vacant, an election will be held to fill the unexpired term.
ARTICLE XI
General Membership Meeting
Section 1.
General Membership Meetings shall be held each month, at 7:00
P.M. unless otherwise scheduled.
The time and place shall be published in the minutes, newsletter
and web site.
Section 2.
Quorum.
The members present shall constitute a quorum.
ARTICLE XII
Annual Meeting
Section 1.
The General Membership Meeting held in November, at 7:00 P.M.
shall be known as the Annual Meeting for the purpose of electing
officers, directors, receiving reports of officers and committees, and
for any other business brought before the membership.
The date and place shall be published in the minutes, newsletter,
and web site.
Section 2.
Quorum.
The members present shall constitute a quorum.
ARTICLE XIII
Executive Board Meetings
Section 1.
Executive Board Members.
BRCC Officers, Directors, Newsletter and/or Website Editor,
Homecoming and Parades Chairperson shall constitute the Executive Board.
Section 2.
Executive Board Meetings shall be held each month at 7:00 P.M.
unless otherwise scheduled.
The date and place shall be published in the minutes, newsletter and
website.
Section 3.
Minutes of the Executive Board Meetings shall not be a matter of
public record.
Section 4.
Quorum.
The members present shall constitute a quorum.
ARTICLE XIV
Special Executive Board Meetings
Section 1.
The President or three (3) members of the Board can convene a
Special Executive Board Meeting.
Section 2.
All Executive Board Members shall be notified at least (72) hours
before the scheduled meeting.
Section 3.
The members present shall constitute a quorum.
ARTICLE XV
Committees
Section 1.
Newsletter and/or Website Editor Position.
The Newsletter and/or Website Editor is appointed by the
President, shall have voting privileges, shall have no term limitation,
and whose duties and responsibilities are:
Ø
Coordinate, maintain and upgrade the website and/or newsletter.
Ø
Ensure
the newsletter is received by members before the General Membership
Meetings by mail or web site.
Ø
Appoint
a Newsletter staff, when necessary.
Ø
Coordinate with the Secretary and Treasurer as to who shall receive the
Newsletter by mail or web site.
Ø
Provide
information and announcements related to BRCC.
Ø
Project
a positive image of BRCC to the general membership and the public.
Ø
Attend
all General Membership and Executive Board meetings.
Section 2.
Homecoming and Parades Chairperson.
The Homecoming and Parades Chairperson shall be appointed by the
President, shall have voting privileges and whose duties and
responsibilities are:
Ø
Receive
requests and schedules from organizations for parades and homecoming
activities.
Ø
Coordinate the request(s) with the membership.
Ø
Forward
any donations from the requesting organization(s) to the Treasurer.
Ø
Attend
all General Membership and Executive Board meetings.
Section 3.
BRCC Car Show Committee.
A BRCC Car Show Committee shall be appointed by the President and
whose duties and responsibilities are:
Ø
It shall
be the duty of this committee to act as the focal point for organizing,
coordinating and advertising all BRCC Car Shows, except the St. Jude Car
Show, with other car clubs, car owners and the general public.
Section 4.
Christmas Party Committee.
A Christmas Party Committee shall be appointed by the President
and whose duties and responsibilities are:
Ø
It shall
be the duty of this committee to plan, budget, and arrange the annual
club Christmas
Party.
Section 5.
Confederation Representative(s) Committee.
A Confederation Representative(s) Committee shall be appointed by
the President and whose duties and responsibilities are:
Ø
To
represent BRCC at the Confederation of Corvette Clubs (CCC) to
coordinate calendar of events among the
Section 6.
Nominating Committee.
A Nominating Committee shall be composed of the Immediate Past
President as chairperson, two (2) past officers, and three (3) members
all appointed by the Immediate Past President at the General Membership
Meeting held in July. If
the Immediate Past President is not available, the Immediate Past Vice
President shall become chairperson and whose duties and responsibilities
are:
Ø
To call
all eligible members for the elected positions at the Annual Meeting in
November.
Ø
The
Nominating Committee shall present a list of candidates at the General
Membership Meeting held in September.
Additional nominations from the floor shall be permitted during
the October General Membership Meeting.
Ø
The
Nominating Committee shall review the eligibility of all candidates and
present the official list to the President as soon as possible after the
October Meeting. Upon
acceptance of the list of candidates by the President, the duties of the
Nominating Committee shall terminate.
Section 7.
Race Track Committee.
A Sponsor Committee shall be appointed by the President and whose
duty and responsibility is:
Ø
It shall
be the duty of this committee to organize safe race track functions.
Section 8.
Sponsor Committee.
A Sponsor Committee shall be appointed by the President and whose
duties and responsibilities are:
Ø
It shall
be the duty of this committee to coordinate and inform our sponsors of
BRCC activities and mutual participation.
Section 9.
Ø
It shall
be the duty of this committee to organize, coordinate, and advertise the
St. Jude Car Show with other car clubs, car owners, and the public.
Section 10.
Telephone Committee.
A Telephone Committee composed of up to six (6) Directors, shall
assume their positions on January 1st
following their election into office and whose duties and
responsibilities are:
Ø
To
telephone members to inform them of BRCC activities or events or solicit
their opinion and concerns.
Section 11.
Other Committees.
Other committees, standing or special, shall be appointed by the
President or the Executive Board as deemed necessary to carry on the
work of BRCC.
Section 12.
President’s Ex-Officio.
The President shall be an ex-officio member of all committees
except the Nominating Committee.
ARTICLE XVI
Parliamentary Authority
The rules contained in the current
edition of Robert’s Rules of Order Newly Revised shall govern the BRCC
in all cases to which they are applicable and in which they are not
inconsistent with these bylaws.
ARTICLE XVII
Amendments of Bylaws
Section 1.
Amendments of bylaws or addendums by a member of the Executive
Board shall be made directly to the Executive Board for discussion.
Section 2.
Amendments of bylaws or addendums by a member or associate member
shall be made to a Director for review.
The Director shall present the amendment to the Executive Board
for Discussion.
Section 3.
If the Executive Board approves the amendment of bylaws or
addendums, it shall be presented to the general membership meeting for
discussion and motion. The
motion shall be published in the minutes, newsletter, and web site.
A vote on the motion shall be at the next General Membership
Meeting.
Section 4.
Any ten members or associate members may propose an amendment or
addendum of the bylaws at a General Membership Meeting for discussion
and motion. The motion
shall be published in the minutes, newsletter, and web site.
A vote on the motion shall be at the next General Membership
Meeting.
ARTICLE XVIII
CLUB EXPENSES
Section 1.
BRCC Events Expenses.
All BRCC events/activities/functions that require BRCC to
encounter an output toward the cost of such events/activities/functions
will be estimated and the BRCC membership shall approve any monetary
amount exceeding $75.00 for each event/activity/function.
Section 2.
Donations/Flowers/Plants for Deceased.
BRCC will make donations or order flowers/plants for deceased
club members or immediate family members in the amount of $100.00.
Immediate family member(s) of club member shall be spouse,
children, and parents.
ARTICLE XIX
Dissolution of BRCC
Section 1.
Dissolution of BRCC shall follow the same procedures as Section
XVII.
Section 2.
At the time of dissolution, all club liabilities shall first be
paid and any remaining assets shall be donated to a charity approved by
the General Membership.
ARTICLE XX
Fiscal Year
The fiscal year shall be the calendar
year:
The First of January through the 31st of December.
ARTICLE XXI
Annual Dues
Section 1.
Annual Dues from Current Members.
Ø
The
annual dues from current members shall be payable with a new membership
application by the first General Membership Meeting in January.
Section 2.
Annual Dues from New Applicants.
Ø
The
first year’s annual dues shall be submitted with an application for
membership. If the
application is not approved, the first year’s dues will be returned.
Ø
If
annual dues are received from a new member on or after the first of
October, the annual dues shall be applied to the following year starting
on the first of January.
Ø
The new
member and associate member may attend any BRCC social events held
between the first of October and the 31st of December,
however, any and all associated costs must be borne by the new member
and associate member, not by the BRCC.
Section 3.
Approval of Dues.
Annual dues shall be approved by a majority vote of the Executive
Board and approved by a majority vote of the members present at a
General Membership Meeting.
Section 4.
